TitleShield is NOT:

A fund manager or portfolio manager
An investment adviser
A collective investment scheme
A securities dealer

Investor funds never pass through TitleShield. All co-ownership funds are held in SPV-specific corporate bank accounts under the investors' governance control.

What TitleShield is
TitleShield Governance Platform Limited is a property co-ownership governance platform. We provide governance infrastructure — due diligence certification, SPV oversight, AI monitoring, and compliance management — for groups of individuals who choose to co-own property through registered SPVs.
What TitleShield is NOT
TitleShield is not a fund manager, investment adviser, portfolio manager, or collective investment scheme as defined under the Investment and Securities Act (ISA 2025) or any other Nigerian legislation. We do not hold, manage, or control co-owner funds. We do not make investment decisions on co-owners' behalf.
SEC Nigeria
TitleShield is a participant in the SEC Nigeria Regulatory Incubation Programme under ISA 2025. [PLACEHOLDER: RI Programme reference number will be published upon confirmation.] Participation in the RI Programme does not constitute SEC registration or authorisation as a fund manager or investment adviser.
SCUML
All three TitleShield entities — TitleShield Governance Platform Limited, Mary Kolo Consulting, and Maryland Real Estate Services & Facilities Management Company Ltd — are registered with the Special Control Unit against Money Laundering (SCUML). AML/CFT compliance is maintained across all three entities.
CAMA 2020
All co-ownership SPVs are incorporated as private limited companies under the Companies and Allied Matters Act 2020. Co-owner shareholdings are documented in each SPV's statutory register of members.
Land Use Act 1978
All properties listed on TitleShield are verified for compliance with the Land Use Act 1978 and FCT-specific land regulations. Governor's Consent status is reviewed and disclosed as part of the five-pillar due diligence.
NDPA 2023
TitleShield processes personal data in compliance with the Nigeria Data Protection Act 2023. Our Data Protection Policy and Data Processing Agreements are published in the document library below.
National Operations
TitleShield operates across Nigeria's major property markets — Abuja (FCT), Lagos, Port Harcourt, Kano, and expanding. In each city, due diligence is conducted by alliance surveyors operating under Mary Kolo Consulting's national standard and supervision. All Due Diligence Certificates are issued under MKC's professional registration regardless of location.
